1. ACCEPTANCE OF TERMS AND VOLUNTARY PARTICIPATION

By clicking "Download", installing, or otherwise using the Spare Parts Manager AI software in its Alpha, Beta, or any other pre-release form (hereinafter referred to as the "Testing Software"), you (the "Tester") acknowledge and agree to be bound by the terms of this End User License Agreement and Testing Waiver ("EULA"). This EULA represents a legally binding contract between you and HIT S.r.l. (the "Developer"). If you do not agree to these terms, you must not download, install, or use the Testing Software. Your participation in the Alpha/Beta testing program is strictly voluntary and made at your own sole risk.

2. NATURE OF PRE-RELEASE SOFTWARE

The Tester acknowledges that the Testing Software is a pre-release version, is still under active development, and has not been fully tested or certified for commercial deployment. The Testing Software is highly experimental and may contain significant bugs, errors, inconsistencies, or omissions that could cause system failures, hardware malfunctions, unexpected shutdowns, data loss, or inaccurate identification of heavy machinery spare parts. The Developer provides the Testing Software strictly on an "AS IS" and "AS AVAILABLE" basis, without any express or implied warranties of any kind.

3. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, HIT S.r.l. expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and continuous operation. The Developer does not warrant that the AI identification system will be accurate, that the software will be compatible with your mobile device or operating system, or that any errors discovered during the testing phase will be corrected.

4. LIMITATION OF LIABILITY AND HARDWARE DAMAGE

In no event, under any legal theory (whether in contract, tort, negligence, strict liability, or otherwise), shall HIT S.r.l., its directors, employees, partners, or affiliates be liable to the Tester or any third party for any direct, indirect, incidental, special, consequential, or exemplary damages. This includes, but is not limited to, damages for loss of profits, loss of data, business interruption, procurement of incorrect spare parts resulting in machinery damage or downtime, personal injury, device overheating, battery degradation, or total hardware failure of the device running the Testing Software. The Tester assumes full responsibility for any risks associated with the execution of highly demanding AI processes on their local hardware.

5. NO REMUNERATION, COMPENSATION, OR REIMBURSEMENT

The Tester expressly acknowledges and agrees that participation in the Alpha or Beta testing program is unpaid. HIT S.r.l. shall not provide any form of remuneration, salary, royalty, equity, or financial compensation for the time, effort, feedback, bug reports, or data provided by the Tester. Furthermore, the Developer will not reimburse the Tester for any costs incurred, including but not limited to cellular data usage, internet bandwidth, hardware upgrades, device repairs, or replacement of devices damaged during the testing of the Software.

6. FEEDBACK AND INTELLECTUAL PROPERTY

All right, title, and interest in and to the Testing Software, including any algorithms, Neural Networks, databases, UI designs, and underlying code, remain the exclusive property of HIT S.r.l. Any feedback, suggestions, bug reports, or data (including photos of spare parts or voice logs) submitted by the Tester during the evaluation period shall become the sole and exclusive property of HIT S.r.l. The Developer may use such feedback for any purpose, including improving the commercial version of the software, without any obligation of confidentiality, attribution, or compensation to the Tester.

7. CONFIDENTIALITY

The Testing Software, its features, user interface, AI capabilities, and performance metrics constitute confidential and proprietary information of HIT S.r.l. The Tester agrees to hold all such information in strict confidence and shall not disclose, share, publish, broadcast, or leak any screenshots, video recordings, performance data, or detailed descriptions of the Testing Software to any public forum, social media network, competitor, or unauthorized third party without prior written consent from the Developer.

8. TERMINATION AND SUSPENSION

HIT S.r.l. reserves the right, at its sole discretion, to modify, suspend, or terminate the Alpha/Beta testing program, or to revoke the Tester's access to the Testing Software at any time, with or without notice, for any reason or no reason. Upon termination, the Tester must immediately cease all use of the Testing Software and permanently delete all copies from their devices.

9. GOVERNING LAW AND JURISDICTION

This EULA shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this EULA, or the breach thereof, shall be subject to the exclusive jurisdiction of the competent Courts of Reggio Emilia, Italy.
